EPR Insights – Terms and Conditions

1. About these Terms
These Terms and Conditions (the "Terms") govern the use of the EPR Insights Shopify app and related services (the "Service"). The Service is provided by EPR Insights ApS, CVR no. 45818691, Sankt Anna Gade 5, 8000 Aarhus, Denmark ("EPR Insights", "we", "us", "our").
The Terms form a binding agreement between us and the business that installs or uses the Service (the "Merchant" or "you"). The Service is intended for businesses only and is not offered to consumers.
2. Definitions
- "Shopify" means Shopify Inc. and its affiliates, which operate the Shopify platform on which your store runs.
- "Store" means the Shopify store on which you install the Service.
- "Merchant Data" means data from your Store that the Service accesses or processes, including order, product, inventory and customer data.
- "Customer Personal Data" means personal data about your end customers contained in Merchant Data.
- "Reports" means EPR-related reports, calculations and outputs generated by the Service.
- "Marketing Materials" means our website, Shopify App Store listing, case studies, presentations, social media and similar promotional materials.
3. Acceptance
By installing the Service, or by clicking to accept these Terms in the app, you confirm that you accept them on behalf of the business that owns the Store, and that you are authorised to do so.
If you do not accept these Terms, you must not install or use the Service.
These Terms apply in addition to the Shopify Terms of Service and the Shopify API and App Store terms. Our Privacy Policy describes how we handle personal data.
4. The Service
The Service helps you collect and organise data from your Store to support Extended Producer Responsibility ("EPR") reporting, for example by classifying orders as B2B or B2C and identifying destination countries.
We may improve, change or discontinue features of the Service. If we remove functionality that is material to you, we will give reasonable advance notice where practical.
5. Your responsibility for EPR compliance
The Service is a reporting and data tool. It does not provide legal, regulatory or tax advice, and it does not file reports on your behalf unless we expressly agree otherwise in writing.
You remain solely responsible for:
- your compliance with EPR rules and other laws in every country where you sell;
- the accuracy and completeness of the product, packaging and order data in your Store, which the Reports depend on;
- reviewing Reports before you use them in any registration, declaration or filing.
6. Fees and billing
Fees for paid plans are shown in our Shopify App Store listing and in the app. All charges are billed through Shopify's billing system and appear on your Shopify invoice.
Prices are exclusive of VAT and other applicable taxes. We may change our prices with at least 30 days' notice. The new price applies from your next billing cycle after the notice period, and you may cancel your subscription or uninstall the app before then if you do not accept it.
Unless required by law or stated otherwise in the app, fees already paid are non-refundable, including for partial billing periods.
7. Your obligations
You agree to:
- use the Service only for your own business and in compliance with applicable law and Shopify's terms;
- keep access to your Store and the app secure, and tell us promptly about any unauthorised use;
- not copy, resell, reverse engineer or attempt to gain unauthorised access to the Service or its underlying systems;
- not use the Service to process data you are not entitled to process.
8. Data protection
For Customer Personal Data, you are the data controller and we act as your data processor. We process it only to provide the Service and on your documented instructions, as described in our Privacy Policy.
For personal data about you and your staff (such as contact and account details), we are the data controller, as described in our Privacy Policy.
You are responsible for having a lawful basis to share Merchant Data with us, and for informing your customers as required by law.
9. Intellectual property
We own all rights in the Service, including its software, design and documentation. You receive a limited, non-exclusive, non-transferable right to use the Service for your own business during the term of these Terms.
You own your Merchant Data and the Reports generated from it. You grant us the right to use Merchant Data as necessary to provide, support and improve the Service.
We may use aggregated and anonymised data, which cannot identify you or any individual, to improve the Service and for statistics.
If you send us feedback or suggestions, we may use them freely without obligation to you.
10. Publicity and customer references
You grant us a non-exclusive, royalty-free, worldwide right to identify you as a customer of EPR Insights in our Marketing Materials. This includes the right to:
- display your company name, trade name and logo;
- quote or reproduce reviews you have published about the Service, for example on the Shopify App Store, together with your company name;
- use statements or feedback you have given us about the Service, provided that we will obtain your approval before attributing a direct quote to you or a named individual.
We will use your name and logo in accordance with any brand guidelines you provide and in a way that does not suggest you endorse anything beyond your use of the Service.
You may withdraw this permission at any time by emailing mas@eprinsights.com. We will remove your name, logo and attributed statements from our website within 30 days. We are not required to recall printed materials or edit content already published by third parties.
This permission ends automatically when these Terms end, and the same 30-day removal period applies.
11. Availability and disclaimers
We aim to keep the Service available and accurate, but we do not guarantee that it will be uninterrupted or error-free. The Service depends on Shopify and other third-party providers, and we are not responsible for their outages or changes.
To the extent permitted by law, the Service and Reports are provided "as is" without warranties of any kind, including fitness for a particular purpose or that Reports will satisfy any authority's requirements.
12. Limitation of liability
We are not liable for indirect or consequential loss, including lost profits, lost revenue, loss of data, or fines, fees or penalties imposed by authorities.
Our total liability arising from or related to these Terms is limited to the fees you paid us in the 12 months before the event giving rise to the claim.
These limitations do not apply to liability that cannot be limited under Danish law, including liability for gross negligence or wilful misconduct.
13. Term and termination
These Terms apply from when you install or accept them and continue until the Service is uninstalled or the Terms are terminated.
You may stop using the Service at any time by uninstalling the app. We may suspend or terminate your access with 30 days' notice, or immediately if you materially breach these Terms or if required by Shopify or by law.
When the Terms end, your right to use the Service ends. We delete Merchant Data as described in our Privacy Policy. Sections 5, 9, 10 (removal period), 12 and 15 survive termination.
14. Changes to these Terms
We may update these Terms. For material changes, we will notify you by email or in the app at least 30 days before they take effect. If you continue to use the Service after that date, you accept the updated Terms. If you do not accept them, you may uninstall the app before they take effect.
15. Governing law and disputes
These Terms are governed by Danish law, excluding its conflict-of-law rules. Disputes will be settled by the courts of Aarhus, Denmark, as the court of first instance.
16. General
If any provision is found invalid, the rest of the Terms remain in force. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition or sale of assets.
